1. Definitions
1.1 “Company” refers to JB Telecom & Data, a management consultancy agent based in the Netherlands.
1.2 “Client” refers to any individual or entity that engages the services of the Company.
1.3 “Services” refers to all consultancy and advisory services provided by the Company to the Client.
2. Scope of Services
2.1 The Company agrees to provide consultancy services as described in the proposal or agreement signed by both parties.
2.2 Any additional services requested by the Client and not included in the initial agreement will be subject to additional fees.
3. Fees and Payment
3.1 Fees for services will be as outlined in the proposal or agreement.
3.2 Invoices will be issued upon completion of services or as agreed upon in the contract.
3.3 Payment is due within 14 days of the invoice date unless otherwise stated in the agreement.
3.4 Late payments may incur interest at a rate of 1.5% per month.
4. Confidentiality
4.1 Both parties agree to keep all confidential information disclosed during the course of the engagement confidential.
4.2 Confidential information includes, but is not limited to, business strategies, financial data, and proprietary methodologies.
4.3 The obligation of confidentiality will survive the termination of this agreement.
5. Intellectual Property
5.1 All intellectual property rights in any materials provided by the Company to the Client remain with the Company.
5.2 The Client is granted a non-exclusive, non-transferable license to use such materials solely for the purposes for which they are provided.
6. Liability
6.1 The Company will perform the services with reasonable care and skill.
6.2 The Company’s total liability in respect of any claim for loss, damage, or expense arising out of or in connection with the services shall not exceed the amount of fees paid by the Client.
6.3 The Company will not be liable for any indirect or consequential losses.
7. Termination
7.1 Either party may terminate the agreement by giving 30 days written notice.
7.2 Upon termination, the Client agrees to pay for all services rendered up to the date of termination.
8. Governing Law
8.1 These terms and conditions are governed by and construed in accordance with the laws of the Netherlands.
8.2 Any disputes arising out of or in connection with these terms and conditions will be subject to the exclusive jurisdiction of the courts of the Netherlands.
9. Miscellaneous
9.1 Any amendments to these terms and conditions must be in writing and signed by both parties.
9.2 If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
By engaging the services of JB Telecom & Data, the Client agrees to these terms and conditions.
